Terms of Service

1. Agreement

These Terms of Service ("Terms") are a legal agreement between you and Zyrus Tech ("we", "us", or "our"), the operator of Zyrus Studio and the Zyrus OS platform. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use the service.

2. Eligibility

You must be at least 18 years old or have the authority to bind your organisation. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

3. What we provide

Zyrus Tech provides branding, signage manufacturing, web development, and AI automation services, delivered through the Zyrus OS workspace platform. Service descriptions, deliverables, and timelines are agreed in project briefs, scopes, or quotations prior to commencement.

4. Acceptable use

You agree not to misuse the service. This includes, but is not limited to:

• Using the service for any unlawful purpose.
• Transmitting spam, malware, or harmful content.
• Infringing intellectual property rights of others.
• Attempting to probe, scan, or test the vulnerability of our systems.
• Reverse engineering, decompiling, or circumventing technical limits.
• Reselling or redistributing access to the platform without authorisation.

5. Intellectual property

Zyrus Tech retains ownership of all software, branding, documentation, and platform IP. For custom client work, ownership and licensing terms are specified in the individual project agreement or quotation. Unless otherwise agreed, Zyrus Tech grants you a limited, non-exclusive, non-transferable licence to use the deliverables for the purpose agreed in your project scope.

6. Payments, billing & subscriptions

Certain services and workspace plans are billed on a subscription or per-project basis. Payment processing, billing, tax, cancellation, and refund mechanics are handled by our online reseller, Paddle.com. Paddle is the Merchant of Record for all our orders. Fees are charged in advance for subscription periods. You are responsible for all applicable taxes. We may suspend access for non-payment after reasonable notice.

7. Merchant of Record disclosure

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.

8. Service level

We strive to maintain high availability and accuracy, but we do not guarantee uninterrupted or error-free performance. The service is provided "as is" without warranties of merchantability, fitness for a particular purpose, or non-infringement, to the fullest extent permitted by law.

9. Suspension & termination

We may suspend or terminate your access if you:

• Materially breach these Terms.
• Fail to pay amounts due.
• Present a security or fraud risk.
• Repeatedly or seriously violate our policies.

Upon termination, your right to use the service ceases immediately. Where feasible, we will provide a reasonable window to export your data before deletion.

10. Limitation of liability

To the maximum extent permitted by law, Zyrus Tech's aggregate liability is limited to the total fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, or special damages (including loss of profits, data, or goodwill), except where prohibited by law (e.g., fraud, death, or personal injury).

11. Governing law

These Terms are governed by the laws of India. Any disputes shall be resolved in the courts of Mumbai, Maharashtra.

12. Changes

We may update these Terms from time to time. Material changes will be notified via email or through the platform. Continued use after changes constitutes acceptance.
